These Terms of Service (“Terms”) govern your access to and use of this website and your purchase of any materials from Ominza LLC, an Illinois limited liability company trading as Ominza (“Ominza”, “we”, “us”, “our”). By creating an account, placing an order, or otherwise using this website, you agree to these Terms in full. If you do not agree, do not use this website.
1. Acceptance of these Terms
These Terms form a binding agreement between you and Ominza. We may update them at any time. The version in force is the one published on this page at the moment you place an order. Continued use of the website after a change constitutes acceptance of the revised Terms.
2. Eligibility and account requirement
Access to our catalog, pricing and ordering requires a registered account. By creating an account and by placing any order you certify that:
- You are at least 21 years of age;
- You are legally able to enter into this agreement;
- You are acquiring materials solely for in-vitro laboratory research;
- You are qualified, or are acting under the supervision of someone qualified, to handle laboratory research materials; and
- The information you provide is accurate and complete.
You are responsible for all activity under your account and for keeping your credentials confidential. We may suspend or close any account at our discretion.
3. Research use only
All materials supplied by Ominza are sold strictly for in-vitro laboratory research purposes. They are not sold for, and must not be used for, human or veterinary consumption of any kind. You agree not to administer, ingest, or otherwise introduce any material obtained from us into a human or animal body, and not to supply it to any person who intends to do so.
4. No medical, veterinary or diagnostic use
Nothing supplied by Ominza is a drug, food, dietary supplement, cosmetic, or medical device. Nothing on this website is medical advice. No material we supply is intended to diagnose, treat, cure or prevent any disease or condition, and no such use is authorised.
5. Regulatory status
These statements have not been evaluated by the U.S. Food and Drug Administration. Ominza is not a pharmacy, is not a 503A compounding pharmacy, is not a 503B outsourcing facility, and is not a registered drug manufacturer. We do not hold any marketing authorisation for any material we supply, and we make no representation that any material is approved for any use in humans or animals.
6. Orders, pricing and acceptance
All prices are in U.S. dollars and are subject to change without notice. Placing an order is an offer to purchase. We may decline or cancel any order, in whole or in part, for any reason, including suspected non-research use, suspected fraud, pricing error, or unavailability. Your order is accepted only when we dispatch it.
We sell and ship within the United States only. We do not accept orders for delivery outside the United States.
7. Shipping and risk of loss
Shipping terms, processing times and transit expectations are set out on our Shipping & Returns page and form part of these Terms. Title and risk of loss pass to you when the carrier takes possession of the package. Delivery dates are estimates and are not guaranteed. You are responsible for providing a complete and accurate delivery address and for any loss resulting from an address error.
8. Returns and refunds
All sales are final. We do not accept returns or exchanges, and we do not offer refunds for change of mind, incorrect ordering, or any reason other than the limited circumstances below.
If an order arrives damaged or materially defective, you must contact us at ominza2k25@gmail.com within seven (7) days of delivery, with your order number and clear photographs of the outer packaging, the vial and the shipping label. Claims made after seven days cannot be considered. Where a claim is accepted, our sole obligation, at our option, is replacement of the affected item or a refund of the amount paid for it.
9. Specifications and documentation
Materials are supplied to us by our manufacturing partner against a written specification for identity, purity and net content. The specification figures shown on our product pages are those stated by the supplier. We review the documentation we receive but we do not independently re-test material, and we do not currently issue Certificates of Analysis. Nothing on this website should be read as a representation that we have independently verified any analytical figure.
You are responsible for confirming the identity, purity and suitability of any material for your own research before use.
10. Prohibited uses and resale
You may not resell, redistribute, repackage or relabel any material obtained from us for human or veterinary use, or in any manner that misrepresents its research-use-only status. You may not use this website for any unlawful purpose or in breach of any applicable federal, state or local law, or any institutional or export control requirement.
11. Chargebacks
If you have a concern about an order, contact us first. Initiating a chargeback without contacting us is a breach of these Terms. We reserve the right to contest any chargeback, to recover the amount charged back together with reasonable costs, and to close the associated account.
12. Indemnification
You agree to indemnify, defend and hold harmless Ominza and its members, officers, employees, suppliers and agents from and against any claim, loss, liability, damage, fine, penalty, cost or expense, including reasonable legal fees, arising out of or relating to your purchase, possession, handling, use, misuse or disposal of any material obtained from us, your breach of these Terms, or your violation of any law.
13. Disclaimer of warranties
All materials are supplied “as is” and “as available”. To the fullest extent permitted by law, Ominza disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any material is suitable for any particular research application.
14. Limitation of liability
To the fullest extent permitted by law, Ominza will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, data, or research, however caused. Our total aggregate liability arising out of or relating to any order will not exceed the amount you paid for the material giving rise to the claim.
Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or any order will be resolved by binding arbitration seated in Cook County, Illinois, on an individual basis. You and Ominza each waive any right to participate in a class, collective or representative proceeding. Either party may bring an individual claim in small claims court where it qualifies.
16. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force. These Terms, together with our Privacy Policy and Shipping & Returns page, are the entire agreement between you and Ominza regarding this website and supersede any prior understanding.
